Terms of Service

1. The service

Whisply is an AI productivity overlay for macOS. The desktop app runs locally on your Mac, surfacing chat, screen capture, and answer-popout features that talk to large language models. By installing the app or creating an account at whisply.net, you agree to these terms. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law. You are responsible for any activity that occurs under your account.

3. Bring your own key (BYOK)

Whisply supports a bring-your-own-key model: you supply your own OpenAI, Anthropic, Google, or other supported provider API keys, and the app talks to those providers directly from your Mac. You are solely responsible for:

• Keeping your API keys confidential. Keys are stored in the macOS Keychain on your device and are never transmitted to our servers.
• Any usage charges, rate limits, or terms imposed by the upstream provider whose key you supply.
• Compliance with the upstream provider's usage policies. We do not vouch for provider availability or pricing.

4. Subscription and refunds

Paid plans are billed monthly or annually through Stripe. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period and you retain access until then. We offer a no-questions-asked refund within seven days of the initial purchase. Refunds for renewals are evaluated case by case.

5. Acceptable use

You agree not to use Whisply to violate any law, infringe another person's rights, attempt to reverse-engineer or redistribute the app outside the licence we grant you, or attempt to interfere with the service for other users. We may suspend or terminate accounts that breach these rules.

6. Intellectual property

The Whisply name, logo, app, and website are owned by us. We grant you a limited, non-exclusive, non-transferable licence to install and use the macOS app for personal or internal business use during the period you are an active user. Content you generate using the app belongs to you, subject to the terms of any upstream model provider.

7. Account termination

You may delete your account at any time from the dashboard or by emailing whisply@pm.me. We may terminate or suspend accounts for breach of these terms, fraud, chargebacks, or prolonged inactivity. On termination we cease billing and, on request, delete personal data held under our control as described in our Privacy Policy.

8. Disclaimers

The service is provided on an "as is" and "as available" basis without warranties of any kind. AI-generated output may be inaccurate or incomplete; you are responsible for verifying anything you rely on. We do not warrant that the service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the service is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Changes to these terms

We may update these terms from time to time. Material changes will be announced in the app or by email at least fourteen days before they take effect. Continued use after the effective date constitutes acceptance.

11. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
